Thesameprinciplesapplytotheeligibilityofrenterstoserve onaboard.Ifthebylawsdonotrestrictboardmembersto “unitowners”or“members”renterswouldbeeligibleto serveasboardmembers.Otherwise,despitethedicultyof ndingunitownerswillingtoserveasboardmembers,renters wouldnotbeeligible.
HomeownerAssociaonsorganizedunderthePlannedReal EstateDevelopmentFullDisclosureActaregovernedby N.J.S.A.45:22A45andN.J.S.A.45:22A46.Thestatutestates thattheassociaondocumentsaretoprovide“forthe eleconofanexecuveboard…throughwhichthepowersof theassociaonshallbeexercisedanditsfuncons performed”(N.J.S.A.45:22A45(a))butthestatutedoesnot specifyanyfurtherrequirementsregardingeligibilitytoserve asaboardmember.Therefore,aswithcondominium associaonsonemustrefertotheassociaon’sdeclaraonof covenantsandbylawstodeterminethoseissues.
Finally,theNewJerseyNonprotCorporaonAct(N.J.S.A. 15A:11etseq.)requiresonlythatanindividualbeatleast18 yearsofagetoserveonaboard.Perthestatutethereisno requirementthattheindividualbeacizenorresidentofthe UnitedStatesorevenamemberoftheassociaon.The statute,however,doesstatethattheassociaonbylawsmay imposeotherrequirementsforeligibilitytoserveona board.(N.J.S.A15A:61).
Thekeyonbothquesonsisthelanguageofthebylawsand theeligibilityrequirementsforservingasamemberofthe boardoftrusteescontainedinthebylaws.
