Updating Association Governing Documents

oard members of condominiums and common interest community associations in Illinois have what could at first glance be considered a rather daunting task. As fiduciaries, board members should conduct board business in compliance with their association’s governing documents (i.e., declaration, bylaws, rules and regulations) as well as applicable laws. That may involve reviewing multiple lengthy legal documents as well as multiple statutes when board members are trying to make a prudent decision consistent with their fiduciary duties. One step that a board can take to help streamline this process is to keep the association’s governing documents up to date with current laws.

As some initial background, the two Illinois statutes that primarily apply to condominium and common interest community associations are the Condominium Property Act (765 ILCS 605/1 et. seq. and referred to herein as the “Condo Act”) and the Common Interest Community Association Act (765 ILCS 160/1-1 et. seq. and referred to herein as “CICAA”). The Condo Act was initially created in 1963 and applies to Illinois condominium associations. Given the
