ASSOCIATION:
The Association is a Corporation
The board of directors and managing agent are managing a business. While we hear this often in our industry, it is not said enough. This statement not only helps balance the board of directors-managing agent relationship, but it also helps all to understand the need to allow each player of the association team to fulfill their role.
Most community associations are not-for-profit corporations. Community associations, like all corporations, can only act through their board of directors. The powers
and duties of the board of directors for a condominium association are provided for in the association’s bylaws and Section 18 of the Illinois Condominium Property Act (“Condo Act”). For community associations bound by the Common Interest Community Association Act (“CICAA”), their board of directors’ powers and duties are also identified in the association’s bylaws and in Section 1-30 of CICAA. The board of directors for those associations not bound by the Condo Act or CICAA can learn more about their powers in the association’s bylaws and in Section 103.10 of the Illinois Not For Profit Corporation Act.
