Aging Gracefully, Governing Responsibly

The October educational luncheon covered balancing the needs of aging residents with the duty to protect the association from liability. It was presented by Brian D. Moreno, Esq., CCAL, Brian D. Moreno Law Corporation APC; Renee Barger, CMCA, AMS, PCAM, FirstService Residential, AAMC; and Matt D. Ober, Esq., CCAL, Richardson | Ober, LLP. The program was coordinated by Valerie Hernandez, Villa Park Landscape; Sara Robertson, Park West; and Scott McKeon, McKeon & Company Pest Management.


The panel raised the following emerging challenges to corporate governance:


• Community managers increasingly face diffi culties in navigating the responsibility to manage the needs of the association versus the needs of the individual, especially the unique and challenging needs of aging residents. Modern medicine provides wonderful benefi ts that allow people to live longer than any previous generation; however, the drawbacks of severely impacted physical strength and coordination, along with loss of mental acuity, sometimes make it diffi cult for our aging population to live on their own. It’s important to remember that a community association is an independent living community and not responsible for providing assisted living services.

• Some of the association duties to its members include treating residents fairly and equitably, exercising discretion reasonably and in good faith, disclosing information about the association, and addressing conditions that present unreasonable risk of injury or damage to residents. With an aging population these duties become even more sensitive and can present unforeseen liabilities or competing interests. There is safety in managing policies and procedures to address residents in distress and continually assessing and managing physical property risks to prevent injury.


• It’s important to foster an environment where residents can obtain the information and services they need to live independently rather than remove people from their homes. Working closely with the association’s legal counsel to take a proactive approach to aging resident communities and seeking help from family, friends, and government resources is the surest path to success.
