s my term as the NIRI Board Chair comes to a close at the upcoming December meeting, I spent a moment reflecting on the year and looked back at my first At the Bell column in February this year. I proposed in that column that perhaps this would be a year where we
would see advancement of NIRI’s advocacy agenda and record some small wins in our efforts to bring greater transparency to capital markets. In late September, I was fortunate enough to participate in NIRI Legislative Fly-in sessions
where one of the highlights was an informal dinner and discussion with Securities and Exchange Commission (SEC) Commissioner Hester Peirce. She opted not to present a long set of prepared remarks but rather to answer questions and engage in dialogue with the NIRI representatives in attendance.
This was the evening before our meeting with the SEC. While in that meeting we didn’t get immediate support for our proposal to establish an SEC public company advisory committee, we did receive the message that the SEC is looking for more consistent engagement with our commu- nity. Expect more on that to come as the NIRI Advocacy Advisory Committee prepares its agenda for 2024!
While there continues to be much to do on the advocacy front, a step in the right direction was
made on October 10 when the SEC adopted long-awaited amendments to its beneficial ownership reporting rules under Regulation 13D-G. Most significantly, the amendments accelerate the filing deadlines for initial and amended beneficial ownership reports on Schedules 13D and 13G. NIRI’s advocacy efforts are only as strong as the support it receives from members. The Fly-in
only happens once a year but real change comes with persistence and year-round engagement and NIRI continues to need specific examples and testimonials from members. So I encourage you to find ways to support NIRI’s advocacy efforts! This is the last At the Bell column I’ll write before handing my gavel over to John Moten, IRC, to
serve as the next NIRI Board Chair. Having been a NIRI member for well over a decade I knew the dedication of the NIRI staff before I joined the Board. However after serving as Chair I can say I’m truly amazed at the dedication the staff has to advancing the profession of investor relations. It has truly been my honor to serve all of you through my role on the Board and to work more closely with Matt Brusch, CAE, and the NIRI staff! IR
