November Educational Luncheon: New Legislation Update

The November educational luncheon covered new legislation affecting community associations generally effective January 1, 2024, as well as new case law. The information was presented by David Wankel, Esq., of Iger, Wankel, Bonkowski LLP, CAI-CLAC legislative advocate Louie A. Brown, Jr., Esq., of Kahn, Soares & Conway, LLP, and CAI-CLAC secretary Erik Rivera, CMCA, AMS, PCAM of Manhattan Pacific Management. The program was coordinated by James C. Harkins, IV, of Cane & Harkins LLP and Racheal Soloman, Esq., of Nordberg | DeNichilo, LLP.


The following are three takeaways from the program:


TAKEAWAY #1: Virtual board meetings via video or teleconference will now be permitted without a designated physical location, subject to compliance with prescribed procedures including information to be included in posted notice, technical support, and required roll call vote of directors in open session meetings. When member votes are counted, the inspector must tabulate them in a physical location stated in the notice.


TAKEAWAY #2: Elections:


For elections of directors, the quorum requirement is reduced to 20% after the first attempt, subject to compliance with procedures prescribed in the statute.


Candidate qualifications must apply equally to sitting directors. A director who ceases to be an owner may no longer serve as a director.


The association must disqualify a candidate who has reached a term limit.


TAKEAWAY #3: A recent case held that a “board meeting” does not include board members “discussing” board business via e-mail as long as no “action” is taken. Board members should check with their legal counsel to confirm that this decision is final.
